Sponsorship Agreement

Sponsorship Agreement (“Agreement”)  between ("Sponsor”) and  Transitions Pet Care, Inc., represented by The Great Atlanta Dog Show (“Organizer”);                                                                                           -

 

​WHEREAS, Organizer has the exclusive right to organize and conduct The Great Atlanta Dog Show which is to be held on November 12, 2022 (rain or shine), 10am to 3pm, at Piedmont Park Promenade 1342 Worchester Drive NE, Atlanta, GA 30306 (hereinafter known as the 'Event');

WHEREAS, Sponsor has determined to provide financial support for sponsorship level indicated in exchange for certain promotional rights to be provided by Organizer;

☐ King Shepherd Sponsor | $3500

  • Sponsorship of entire Dog Show

  • Stage Presence Opportunity (Speech)

  • Invitation to be a Celebrity Judge for one dog show

  • Logo/Company advertising will be incorporated into press releases, news outlets & social media tags

  • Logo/Company advertising on volunteer t-shirts (October 1st deadline)

  • Company name/business logo advertising on event website home page with link to company website

  • Recognized during all dog shows (Emcee shoutouts)

  • VIP front row seating for 4

  • Complimentary Vendor booth space provided

☐ Golden Doodle Sponsor| $1,500

  • Sponsorship of an individual dog show

  • Invitation to be a Celebrity Judge for one dog show

  • Company name/ logo advertising on event website with link to company website

  • Recognized during sponsored dog show

  • VIP front row seating for 2

  • Complimentary Vendor booth space provided

☐ Puggle Sponsor | $500

  • Company name advertised on event banner

  • Company name advertised on event website

  • Reserved Seating for 2

 

In consideration of the mutual promises and covenants contained herein, the Parties agree to the terms as follows:

  1. Services Provided - Duration of this Agreement, Organizer is granted by Sponsor the right to use Sponsor's logo(s) in advertising and promoting Sponsor's Products and Services.

  2. Promotion Rights

    • Organizer shall provide the following rights to Sponsor:

    • Sponsor shall have the right to use Organizer's logo for purposes of Sponsor's promotional activities until the end of the event;

    • Sponsor shall have the right to sell products at the Event venue all throughout the event period on November 12, 2022 from 10am to 3pm;

    • Sponsor shall have the right to credit in print advertising made by Organizer in connection with their level of sponsorship

    • Sponsor shall have the right to be named in press releases by the Organizer in relation to their level of sponsorship

    • Sponsor shall have the right to sell and/or give away promotional merchandise during the event;

    • Sponsor shall have the right to use the name of the event in Sponsor's advertising and/or promotional campaigns;

    • Sponsor shall have the right to construct a booth on the date of the Event, however, the booth must meet specifications provided by Organizer.

  3. Trademarks and Trade Names - Organizer is authorized to use Sponsor's logo(s) in any and all advertising and promotional materials for the Event. Logos shall be used in a reasonable manner.

  4. Merchandising - All merchandise manufactured for the Event will have the name of Organizer and the King Sheperd & Golden Doodle Sponsors and the merchandise is to be of high quality and commercial standard.

  5. Refunds/Cancellations - No refunds will be granted unless the event is canceled. In this case, Organizer agrees to issue refund to Sponsor within 30 days of the event being canceled.

  6. Indemnity -Each party shall indemnify and hold harmless the other, its officers, directors, employees, successors, assigns, and representatives from any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorney's fees and cost of lawsuit arising from any failure of any party in any of the warranties in this Agreement.

  7. Warranties - Each party warrants that they have the full legal right and capacity, including having the necessary governmental licenses and permits in conducting business in the State of Georgia to enter into this Agreement and comply with the necessities of their rights and obligations in accordance with its terms and conditions.

  8. Governing Law - The Parties agree that this Agreement will be construed and enforced in accordance with the laws of the State of Georgia.

  9. Assignment - Neither party may assign, transfer, or delegate any of its rights and obligations hereunder, without the prior written consent of the other.

  10. Disputes

    • In case of dispute, claim, or controversy arising due to breach of this Agreement, the parties may submit to arbitration chosen by both parties. The parties shall resolve such proceeding in accordance with the laws of the State of Georgia. Any award in judgment shall be rendered final and may be entered in any court having jurisdiction.

    • Each party shall bear its own expense arising out of such proceeding including attorney's fees. However, fees and costs of arbitrator(s) shall be borne equally by the parties.

  11. Severability - Should any provision in this Agreement be construed and held invalid by any competent court, the same shall apply only to the said provision while the rest of the remaining provisions hereof shall remain valid and enforceable.

  12. Force Majeure -In the event either party is unable to perform its obligations under the terms of this Agreement because of acts of God, strikes, or other causes reasonably beyond its control, such party shall not be liable for damages to the other for any damages resulting from such failure to perform or otherwise from such causes.

  13. Payment
    • Sponsorship payments are due in full by October 15, 2022.
    • Except for the payment of money due, neither party shall be deemed in breach or default of this Contract in the event that either party fails to perform pursuant to the terms and conditions of the Contract and the failure is caused by, or is in connection with, force majeure.
